Edificus provides website design, development, hosting configuration (if agreed), and related digital services. The scope of work, deliverables, milestones, and timelines will be set out in a separate proposal, order confirmation, or service agreement.
Unless otherwise agreed in writing: (a) a deposit is required to commence work; (b) final payment is due before final delivery or transfer of files; (c) invoices not paid within agreed terms may incur late fees or suspension of services.
All payments are final and non-refundable. By contracting Edificus, you accept this no-refund policy. In the event of a payment dispute, you agree to contact Edificus at info@edificus.com and allow at least 5 business days for Edificus to investigate and respond before initiating a chargeback or dispute with Stripe, your card issuer, or bank.
If you initiate a chargeback or dispute before contacting us or before the 5 business day period, you may be subject to project suspension and additional dispute-handling fees. Edificus will provide supporting documentation to Stripe or your bank when disputes arise.
Project quotes include a defined number of revision rounds. Additional changes or out-of-scope requests may incur extra charges and will be quoted separately.
Edificus will use commercially reasonable efforts to meet agreed deadlines. Delivery dates are estimates and may be affected by client delays, third-party providers, or events beyond our control.
All custom work (designs, code, copy) remains the property of Edificus until full payment is received. Upon full payment, Edificus transfers the rights specified in the project agreement to the client for the intended use. Third-party assets (fonts, libraries, stock imagery) remain subject to their original licenses.
Edificus provides services “as is” and does not warrant uninterrupted or error-free operation. Except where required by applicable law, Edificus disclaims all other warranties, expressed or implied.
To the maximum extent permitted by law, Edificus will not be liable for indirect, incidental, consequential, or punitive damages. In no event shall Edificus’s total liability exceed the total fees paid by the client for the particular service giving rise to the claim.
You agree to indemnify and hold Edificus, its employees and contractors harmless from any claims, losses, damages, liabilities, including legal fees, arising out of your breach of these Terms, your content, or your violation of law.
Any dispute arising from or relating to these Terms or the services must first be raised in writing to info@edificus.com. Parties will attempt in good faith to resolve the dispute within 30 days.
If the dispute remains unresolved, you and Edificus agree to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in the State of Florida, USA. You and Edificus each waive any right to a jury trial and to participate in a class action.
Because our services are custom and digital, you agree to contact Edificus and allow the 5-business-day resolution window before filing a Stripe dispute or chargeback. Edificus will provide Stripe with evidence of delivery, acceptance, and communication to contest any fraudulent chargeback.
Edificus may suspend or terminate services for non-payment, breach of these Terms, or illegal activity. Termination does not relieve the client of outstanding payment obligations for work already completed.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
These Terms, together with any signed service agreement or proposal, constitute the entire agreement between you and Edificus regarding the services and supersede prior agreements.
